The ACIF Prosperity Fund

The following is only intended as a summary of the terms of the ACIF Prosperity Fund (Fund). The Information Memorandum (IM) Fund details all the terms associated with an investment in the Fund, which is available from the website of the Fund's trustee.

INVESTMENT OBJECTIVE
The objective of the Fund is to generate an attractive income return and capital gains through a range of subsidiary investment funds that meet the requirement of the current Australian Significant Investor Visa legislation.

INVESTOR SUITABILITY
This Fund may be suitable for investors who:
are seeking a regular quarterly income and capital gains
are wholesale investors
have made an application for an Australian Significant Investor Visa since 1st July 2015

INVESTMENT STRUCTURE
The investments of the ACIF Prosperity Fund are structured to comply with the Australian Significant Investor Visa legislation. This legislation requires that:
10% of the Fund to be invested in complying venture capital fund (Venture Capital Fund)
30% of the Fund to be invested in a complying emerging companies fund (the ACIF Emerging Companies Fund)
60% of the Fund to be invested in a complying balancing fund (the ACIF Balancing Fund)

INVESTMENT GUIDELINES FOR THE VENTURE CAPITAL FUND AND THE ACIF EMERGING COMPANIES FUND
In order to meet the requirements of the legislation and to get the best returns for investors, ACIF has appointed specialist managers for the Venture Capital Fund and the ACIF Emerging Companies Fund.

INVESTMENT GUIDELINES FOR THE ACIF BALANCING FUND
Investments made by the fund may include any of:
direct commercial real estate investments
direct commercial property and infrastructure project interests
fixed income investments and cash deposits.

INVESTMENT PROCESS
As investment manager of the Fund, ACIF will adhere to a stringent, systematic and documented process for all investments to ensure that:
thorough due diligence is undertaken prior to any investment being made
there is ongoing monitoring of all investments once made
an exit strategy exists for each investment.

TARGETED RETURN FOR THE ACIF PROSPERITY FUND
The ACIF Balancing Fund, together with the Venture Capital Funds have been structured and will invest with the objective of providing investors with a pre-tax return of 4.5%pa (after fees and costs), distributed quarterly inarrears.
Returns by the ACIF Emerging Companies Fund will take the form of capital growth. The specialist managers of this fund has been selected based on their past performance in providing good capital growth to investors.

TARGETED RETURN FOR THE ACIF BALANCING FUND
The targeted return of 4.5% (pre-tax) is expected to be distributed quarterly in arrears.

LIQUIDITY
An investment in the Fund is not liquid, and cannot be redeemed within the initial 4 year investment period. Investors can sell or transfer their investment to a third party at any time, subject to the discretion of the Fund's trustee.

RISK
The ACIF Balancing Fund will be exposed to property developmen trisks and other risks.
The Venture Capital Fund and ACIF Emerging Companies Fund will be exposed to the market and other risks associated with this type of investment.

APPLICATION FEE
There is no application fee.

MANAGEMENT FEE
There are a range of fees associated with investment an investment in the fund including
management fees and trustee fees. Please read the IM for the Fund for more detail.

MINIMUM INVESTMENT
AUD $5,000,000.

MINIMUM INVESTMENT PERIOD
The minimum investment period is 4 years. Investors may apply to redeem their investment after 4 years.
